By using G-Mwebdev’s services, including Website & Data Migration, Data Reporting & Business Insights, and Emergency Website Restoration & Recovery, you (“Client”) agree to the following Terms & Conditions.

1. Scope of Services

G-Mwebdev provides professional web development and data services, including:

  • Website design and development
  • Website & Data Migration
  • Data Reporting & Business Insights
  • Emergency Website Restoration & Recovery
  • Ongoing website maintenance and technical support

All services are bespoke, tailored to your business needs. Specific deliverables, timelines, and pricing will be agreed in a proposal or contract before work begins.

2. Quotations and Pricing

  • Quotes are valid for 30 days unless stated otherwise.
  • Pricing may be fixed or hourly depending on project scope.
  • Additional work outside the agreed scope may incur extra charges, confirmed before execution.
  • Bespoke services are priced individually based on project complexity.

3. Payment Terms

  • Payment terms are outlined in your invoice or proposal.
  • Typically, a 50% deposit upfront is required for bespoke projects, with the remaining 50% due upon completion.
  • Late payments may incur interest at a monthly rate equivalent to the Bank of England base rate plus 8% per annum, applied daily until paid.
  • Services may be suspended until outstanding payments are settled.

4. Client Responsibilities

Clients agree to provide:

  • Access to information, accounts, and systems as needed
  • Necessary content, logos, and data in correct formats
  • Feedback and approvals in a timely manner

Delays in providing these may impact timelines and could result in additional charges.

5. Website & Data Migration

  • We migrate websites and associated data securely.
  • While we take all precautions, minor inconsistencies may occur; clients should maintain backups where possible.
  • G-Mwebdev is not responsible for pre-existing errors or data corruption prior to migration.

6. Data Reporting & Business Insights

  • We create dashboards and reports tailored to your business objectives.
  • Data is reorganised and structured to unlock value for business intelligence systems and AI modules.
  • We do not guarantee specific business outcomes. Clients are responsible for compliance with data protection laws.

7. Emergency Website Restoration & Recovery

  • We restore websites after crashes, hacks, or data loss.
  • Services include full clean-up, testing, and validation.
  • We implement robust backup and recovery strategies following the industry-standard 3-2-1 principle.
  • Full recovery cannot be guaranteed if backups are unavailable or corrupted.

8. Intellectual Property

  • Deliverables remain G-Mwebdev property until full payment is received.
  • Upon full payment, ownership of custom code and content is transferred to the client, except where third-party licenses apply.
  • G-Mwebdev may showcase non-confidential work in portfolios and marketing materials.

9. Confidentiality

Both parties agree to protect confidential information and not disclose it to third parties without consent, except where legally required.

10. Limitation of Liability

  • Our liability is limited to the total fees paid for the relevant project.
  • We are not liable for:
    • Loss of profits or business opportunities
    • Pre-existing data issues
    • Third-party platform failures
  • This does not limit liability for death, personal injury, or other liabilities that cannot legally be excluded.

11. Termination

  • Either party may terminate with written notice if a material breach occurs and is not remedied within 14 days.
  • Outstanding invoices become immediately payable.
  • Work completed to date will be delivered, unless otherwise agreed.

12. Governing Law

These Terms & Conditions are governed by the laws of England & Wales. Disputes will be resolved in the courts of this jurisdiction.

13. Amendments

G-Mwebdev may update these Terms & Conditions at any time. Clients will be notified of material changes, and continued use of services constitutes acceptance.
